1. Acceptance of Terms

By accessing and using Reconcilr (the "Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

Reconcilr is a Software as a Service (SaaS) platform designed to help accounting practices automate the reconciliation of transactions across multiple data sources (bank statements, credit card statements, ledger exports, etc.) using intelligent fuzzy matching algorithms.

3. Data Security & Integration Approach

3.1 CSV Upload Model

Reconcilr operates exclusively on a CSV-upload model. Users manually export data as CSV files from their accounting systems and upload them to Reconcilr. Reconcilr does NOT:

Uploaded CSV data is processed for reconciliation matching and retained only as long as the engagement is active. Users can delete engagements and associated data at any time. Upon deletion, all data associated with that engagement is permanently removed from our systems.

Key Point: Reconcilr's CSV-only approach is a deliberate security feature, not a limitation. This means your accounting system credentials are never shared, you maintain full control over your data, and there are no integration delays.

4. User Accounts

4.1 Account Registration

To use Reconcilr, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to maintain its accuracy.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and password. You agree to accept responsibility for all activity that occurs under your account. You must notify Reconcilr immediately of any unauthorized use of your account.

4.3 Multi-Tenant Isolation

Reconcilr maintains strict isolation between different accounting practices. Your data is completely isolated from other users' data. You will only see data from your own practice and clients.

The Service and its original content, features, and functionality are the exclusive property of Reconcilr. All right, title, and interest in and to the Service are and will remain the exclusive property of Reconcilr.

7. Limitation of Liability

To the fullest extent permitted by law, Reconcilr shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, even if advised of the possibility of such damages.

8. Disclaimer of Warranties

The Service is provided on an "as is" basis. Reconcilr makes no warranties, expressed or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose.

9. Data Protection & Privacy

Your use of Reconcilr is also governed by our Privacy Policy. Please review our Privacy Policy to understand our practices regarding the collection and use of your information.

10. Payment Terms

Reconcilr operates on a per-client-per-month subscription pricing model. Pricing tiers are based on the number of clients in your practice:

Invoices are issued monthly. Payment must be received within 30 days of invoice date. Failure to pay may result in suspension of service.

11. Modification of Terms

Reconcilr reserves the right to modify these terms at any time. Changes will be effective upon posting to the website. Your continued use of the Service following the posting of modified terms means you accept and agree to the changes.

12. Termination

Either party may terminate the service agreement at any time. Upon termination, your access to the Service will be immediately disabled. You may request a data export of your information prior to termination.

14. Governing Law
